As we are paving new ground, the terms of service are likely to change from time to time as we figure out what terms best balance the needs of our different communities. We ask you to read the terms carefully. Together with the Copyright Notice and Privacy Policy these Terms of Use are legally binding upon you.

TERMS OF USE

Your use or access of http://www.iprobook.com/ (hereinafter referred to as the "Site") forms a legally binding contract between you and Human Chase Techno Private Limited based on the terms stated herein (hereinafter referred to as "Terms of Use") superseding any prior written or oral agreements in relation to the same subject matter herein. The Site and Human Chase Techno Private Limited are hereinafter collectively referred to as "iProbook".

In these Terms of Use "you" shall be referred to by the terms "you", "your" and any grammatical variations thereof which shall include you and/or any person authorized by you or acting on your behalf and/or any legal entity which may be represented by you under actual or apparent authority.

By accessing and/or using the Site, you agree that (1) you have read these Terms of Use and understand all of its contents and (2) you grant your free and unconditional consent to be subject to all the terms and conditions stated in the Terms of Use.

1. Description of Service

This Site provides a service whereby individuals and other legal entities with varied skills, talents, qualities, interests and requirements are provided a mere electronic web based platform to facilitate connectivity and exchange information amongst them (hereinafter referred to as "Service" or "Services"). By using this Site, you agree and acknowledge that iProbook is merely A NEUTRAL PLATFORM for facilitating connectivity between people.

2. Ownership and Limited License

iProbook shall retain all ownership in the Site and all content generated by it that is displayed on the Site. iProbook grants you a non-commercial, non-exclusive, non-transferable, personal, revocable right to use the Site provided that you (i) do not copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, (ii) do not modify or attempt to modify the Site in any manner or form except that you have the right to modify your self-generated content on the Site and (iii) agree to use this Site in accordance with the terms and conditions contained herein without modifications or reservation of any of the terms and conditions.

3. Consideration and Access


The consideration for these Terms of Use shall be the mutual representations and promises (including the provision of the Service) iProbook and you exchange in these Terms of Use. iProbook, in its sole and exclusive discretion, shall have the right at any time with or without reason, to refuse access to this Site to any individual or entity. If you find the Terms of Use to be unacceptable, you must immediately terminate your use or access of the Site and Services and/or download materials from the Site.

4. Third Party Content, Postingsand Results

iProbook desires to make your use of this Site enjoyable, and will endeavor to keep postings as current as possible, however, in no way does iProbook guarantee that the postings or content on this Site will in any way be current, and you understand, for example, that you may undertake to communicate with another third party through the Site who may have recently modified information provided by such third party, and for which iProbook may have not yet updated the Site to reflect such modification.

5. Warnings and Conduct

If the Site publishes your content or contains public services, chat areas, message boards, news groups, forums, communities and/or other message or communication facilities, you agree to use such community areas only to send, upload, post or receive content, messages and other material that are relevant and proper to the applicable forum and for lawful purposes only. By way of example, and not as limitation, you agree not to:

  • Defame, offend, distress, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of third party.
  • Publish, post, display, upload, distribute or disseminate any profane, defamatory, infringing, obscene, pornographic, sexually explicit or unlawful topic, name, material or information of any kind.
  • Provide material that exploits people under the age of 18 years in a sexual or violent manner, or solicits personal information from anyone under the age of 18 years.
  • Encourage, invite or solicit extra marital affairs.
  • Provide false information on your registration form/profile.
  • Impersonate another person at any point or allow any other person or entity to use your registered user's identification to post or view comments.
  • Present to third parties any content or material in a manner that could be construed as conveying sponsorship, endorsement, option, or representation or warranty of iProbook.
  • Use the Site in violation of local, state, national or international law, statute, ordinance, regulation or rule.
  • Upload files that contain software or other material that violates the intellectual property rights of any third party.
  • Upload content/files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
  • Advertise or offer to sell any goods or services for any commercial purpose.
  • Conduct or forward surveys, contests, pyramid schemes or chain letters.
  • Engage in any fraudulent, abusive or illegal activity including but not limited to any communication or solicitation designed or intended to fraudulently obtain the password or any private information of any user.
  • Post the same note repeatedly (referred to as 'spamming').
  • Restrict or inhibit any other registered user from using and enjoying the community areas.
  • Take any action that imposes an unreasonable or disproportionately large load on the Site's infrastructure.
  • Post any profiles, resumes, messages or requests on the Site for any competitor of iProbook or posting other content that contains links to any site competing with iProbook.
  • Take the results from any type of web search and reformat and display them, or mirror the Site's home page or results pages on your website.

If you violate such terms, iProbook may, without prior notice and without liability to you, forbid you from any and all Services, terminate your registration, delete your messages or postings, and take any other action iProbook deems appropriate in its sole discretion. iProbook shall not be held responsible or liable for deactivation or deletion of accounts or for loss of e-mails, communications, postings, data or information as a result of, or arising out of its administration of Services. Illegal and/or unauthorized uses of the Site, including unauthorized framing of or linking to the Site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress in terms of applicable law.

6. Submissions

By posting any content or material to any public or non-public area of the Site, including message boards, forums, contests and chat rooms, you grant iProbook and iProbook Affiliates (defined later) the loyalty-free, perpetual, irrevocable, sublicenseable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display such content or material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content or material. You also warrant that the holder of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit other third parties to access, display, view, store and reproduce such content or material for personal use. Subject to the foregoing, the owner of such content or material placed on the Site retains any and all rights that may exist in such content or material.

iProbook has no control over, and is not responsible for the acts or omissions of any third-parties, or the quality or validity of the content, information, findings or search results sought thereby. iProbook is not responsible and shall have no liability towards you for any content posted by other third parties; including defamatory, scandalous, obscene, offensive or illicit material and that the risk of damages from such content rests entirely with you. You shall not rely upon opinions expressed at this Site when making business, financial, personal or other decisions. Furthermore, iProbook does not warrant or guarantee the accuracy or completeness of any third party content, nor endorses any third party, or the opinions of third parties expressed on this Site or on linked websites.

YOU SPECIFICALLY ACKNOWLEDGE THAT NEITHER IPROBOOK NOR ANY IPROBOOK ASSOCIATE IS LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OF THE SITE OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. TERMINATION OF THESE TERMS OF USE WITH IPROBOOK IS YOUR SOLE RIGHT AND REMEDY WITH RESPECT TO ANY DISPUTE WITH IPROBOOK.

8. Indemnity

You agree to hold harmless, defend and indemnify iprbook, iProbook Affiliates and successors and assigns from all liabilities, claims, actions, demands and expenses, including without limitation reasonable legal and accounting fees, that are due to, or that arise from your use or misuse of the Site, any Services therein, or your breach of Terms of Use, or for infringement by you or others of intellectual property rights or other right of any third party. iProbook may assume exclusive control of any defense or any matter subject to indemnification by you, and you agree to cooperate with iProbook in such event.

9. Transactions with Third Parties

You are solely responsible for your interactions with other third parties achieved through the Site. iProbook reserves the right, but has no obligation, to monitor disputes between you and other third parties. iProbook does not represent any third party and does not charge any commissions for providing Services. iProbook IS NOT AND CANNOT BE A PARTY TO OR CONTROL IN ANY MANNER ANY TRANSACTION BETWEEN TWO USERS OF THE SITE. As a result, you agree that there may be risks of interacting with people acting under false pretenses.

10. Website Links and Third Party Sites

The Site may contain hypertext links to other websites operated by parties other than iProbook. Such hypertext links are provided for reference only and iProbook does not control such other websites and is not responsible for their contents. iProbook's inclusion of hypertext links to such other websites does not imply any warranty or representation regarding any linked websites or endorsement of the information, products and/or services offered on such other websites or any association with their operators. If you decide to visit any other linked website, you shall do so at your own risk, and it is your responsibility to take all protective measures to guard against viruses or other destructive elements.

11. Other Contracts and Indemnification

You agree that you will not disclose to iProbook or iProbook Affiliates any information which you are, under an existing contractual or other legal obligation, to maintain in confidence or otherwise do not have the right to disclose or share. Should your participation on the Site be found to breach legal obligations you may have with other third parties, including infringement of any third party intellectual property, you agree to defend, indemnify and hold harmless iProbook and iProbook Affiliates, from and against all claims, actions or demands, liabilities, and settlements, including, without limitation, reasonable legal and accounting fees, arising in connection with your use of the Site or resulting from, or alleged to result from, your use of the Site.

12. Trade Marks

Certain names, terms, words, titles, phrases, slogans, logos, icons, images, graphics or designs to the pages of the Site may constitute trade names, trademarks or servicemarks whether registered or otherwise of iProbook. The display of any of the above trade names, trademarks, servicemarks or pages of this Site does not imply that any licence has been granted to any third party in respect of the same.

Any use of the trade names, trademarks or servicemarks belonging to iProbook without the express written permission of iProbook is strictly prohibited.

All other product or company names, logos, icons, graphics or designs referred to on the pages of this Site are the trademarks and/or servicemarks of their respective owners and are exhibited only in such a manner as is intended to be for the benefit of such owners and iProbook intends no infringement of such trademarks and/or servicemarks in any manner whatsoever. 13. Eligibility

The Site is not available for use by minors (those under 18 years of age), or individuals or organizations who cannot form legally binding contracts under applicable law. If you do not qualify, please do not use the Site. If you reside in a country that is prohibited by law, regulation, treaty or administrative act from entering into trade relations with any Country/Countries or its citizens, you may not use this Site.

Your confidential use of the Site cannot be guaranteed by us. iProbook shall not be responsible for any harm that you, any person or any entity may suffer as a result of a breach of confidentiality in respect to your use of the Site.

You may have an account and password for use of the Site. You are responsible for maintaining the confidentiality of your password and account information and are fully responsible for all conduct carried out under this password and account. iProbook shall not be held liable for any loss of confidentiality or for any damages arising from your failure to comply with these terms. You will promptly report any unauthorized use of your password to iProbook.

16. Privacy Policy and Copyright Notice

The terms of iProbook's Privacy Policy located on the Site as modified by iProbook from time to time are incorporated into these Terms of Use by reference and shall govern any disclosure or use of your personal information.

You shall not access the foregoing where prohibited by law. Those who do access the Site, its content, materials and Services from such locations, act on their own initiative and iProbook shall not be held responsible for default in their compliance or non compliance with local laws or other applicable laws.

18. Severability

Any provision of these Terms of Use which is determined by a court of competent jurisdiction to be unenforceable in any jurisdiction shall be severable from these Terms of Use in that jurisdiction without in any way invalidating the remaining provisions of these Terms of Use. The unenforceability of any provision in a given jurisdiction shall not make that provision unenforceable in any other jurisdiction.

You shall not assign these Terms of Use or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law.

20. Governing Law and Jurisdiction

The relationship between you and iProbook shall be governed and interpreted in accordance with the laws of India, without regard to its conflict of law provisions. You and iProbook agree that the courts of Mumbai shall have the exclusive jurisdiction to entertain and/or try any matter connected with, in relation to or arising out of the use or access of this Site by you and/or provision of Service by iProbook.

21. Entire Agreement

These Terms of Use incorporate by reference any notices contained on the Site and together with the Copyright Notice and Privacy Policy constitute the entire agreement with respect to your use and or access to this Site.

22. Modification

iProbook reserves the right to modify and/or update these Terms of Use from time to time and such modified and/or updated Terms of Use shall be effective and binding upon you in respect of any subsequent use of the Site by you after the time such modifications, amendments and/or updates are first displayed on the Site.

Furthermore, iProbook may unilaterally terminate these Terms of Use immediately for any reason. You agree that iProbook shall not be liable to you for any modification or discontinuance of the Site and iProbook may discontinue the Site and the Service without any notice to you.

24. Survival

iProbook's proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any termination of your access, use or participation on the Site.Waiver

The Terms of Use will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto.
